Terms and Conditions
Effective Date: April 21, 2025
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User") and Outharm, a digital content moderation platform operated via API access ("Company", "we", "our", or "us"). By accessing or using the Outharm services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Services Provided
- Automated (AI) Moderation: AI-driven analysis of images and text submitted via API. Results are returned programmatically and may be used to automate content decisions.
- Manual (Human) Moderation: Expert human review of images and text, focused on harmful categories publicly listed on our website. Manual reviews generally complete within up to 48 hours.
- Independent Services: Automated and Manual moderation are independent offerings, may be used separately or together, and are tracked and billed separately.
1A. Definitions
- Fragment (AI Moderation): The metered unit for AI usage. Unless otherwise specified in product documentation, each text field counts as one fragment and each image counts as five fragments. See the Usage page for current counting rules.
- Review Unit (Manual Moderation): The metered unit for Manual usage. Unless otherwise specified in product documentation, 25 words of text count as one review unit (rounded up, minimum one per text field) and one image counts as one review unit. See the Usage page for current counting rules.
2. Use of Service
By using our services, you affirm that:
- You are authorized to submit the content in accordance with applicable law.
- You understand and accept that submitted content may include unlawful or harmful materials, and that this is necessary for the performance of content moderation services.
- You will not interfere with the functionality of our API or attempt to reverse engineer, replicate, or subvert any part of the system.
3. Data Handling and Privacy
- Submitted content (text and images) is retained solely for the purpose of improving moderation performance and service reliability. Data is not shared with third parties.
- Manual Moderation submissions (text and images) are reviewed by authorized Outharm personnel. Submission to this service constitutes explicit consent to human review.
- You retain all rights to your content. However, by using our service, you grant Outharm a limited license to process and temporarily store content as necessary for moderation and model enhancement.
4. Accuracy and Scope of Moderation
- Automated Moderation is based on statistical models and no accuracy guarantee is provided. AI may produce false positives/negatives, struggle with context, or vary by content type.
- Manual Moderation offers higher reliability but is limited strictly to the categories disclosed on our website. Content falling outside these categories may not be analyzed in detail. Manual review generally completes within up to 48 hours, but no specific turnaround time is guaranteed.
5. Billing and Payment
- Outharm operates on a pay-as-you-go model. Charges are based on measured usage: fragments for AI Moderation and review units for Manual Moderation.
- AI Moderation Free Trial: Each new account receives 1,000 free AI fragments. No subscription, payment method, or upfront charge is required to start. There is no time limit on the free fragments. Billing for AI begins only after free fragments are consumed.
- Manual Moderation: Billed from the first request, measured in review units.
- Monthly Billing: Usage is aggregated for each calendar month and charged at the end of the month (or the start of the next month) for the previous month’s usage. Prior usage remains payable upon cancellation.
- Payment Processing: Payments are processed via third-party providers (e.g., Stripe). By using the Service, you authorize us and our payment processor to charge the payment method on file for accrued usage and applicable taxes.
- Documentation Control: Current unit definitions and examples are maintained at /docs/billing/usage. If there is a conflict between marketing copy and the Usage page, the Usage page governs the metering rules.
- Pricing Changes: We may revise pricing from time to time. If we change prices, we will notify the account owner via email at the address on file prior to the effective date of the change.
6. Cancellation and Suspension
- Clients may cancel their subscription at any time through the account dashboard.
- Upon cancellation, all charges accrued during the current billing period remain due and payable.
- If payment is not completed within 14 calendar days of the invoice date, the account will be suspended, and access to moderation services will be revoked.
- Suspended accounts may not access the service until all outstanding invoices are paid in full.
7. No Refund Policy
All charges are final. No refunds will be issued for any reason, including but not limited to:
- Overuse due to client-side implementation errors
- Unintended or excessive API calls
- Dissatisfaction with the service output
- Technical problems on the client's side
8. Limitation of Liability
The Company shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the use of the Service. The service is provided "as-is" and "as available", with no express or implied warranties. The Client assumes full responsibility for the use of results, especially where moderation output is used to enforce decisions on content visibility or removal.
9. Intellectual Property
All proprietary algorithms, models, and systems remain the exclusive property of Outharm. Clients are granted a limited, non-exclusive, non-transferable license to use the API as described, subject to full compliance with these Terms.
10. Modifications
We reserve the right to modify these Terms at any time. For material changes, including changes to pricing or material service terms, we will provide notice to the account owner via email sent to the address on file prior to the effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
